Terms of Service
1. About us
Clinicable Ltd is registered in England and Wales (Company No. 17286444). Our registered address is 4 Beechwood Close, Casnewydd, United Kingdom, NP11 4NX. References to "Clinicable", "we", "us" and "our" in these terms refer to Clinicable Ltd.
2. These terms
These Terms of Service govern your use of our website at clinicable.co.uk and the services we provide. By using our website or engaging our services you agree to these terms.
These terms apply to the use of our website by visitors and to the engagement of our services by clients. Where a separate client agreement or statement of work is in place, that agreement takes precedence over these terms in the event of any conflict.
3. Our services
Clinicable provides business support services to healthcare organisations across four areas: finance, governance, HR and growth. The specific services provided to each client are agreed individually and set out in a client agreement or statement of work.
We are not a regulated financial services provider, law firm or regulated healthcare provider. Where advice or support in those areas is required we will tell you and may refer you to an appropriate regulated professional.
4. Engaging our services
Our services are provided under a client agreement which sets out the scope, fees, payment terms and duration of the engagement. No services will commence until a client agreement has been agreed in writing by both parties.
We reserve the right to decline to provide services to any organisation at our discretion.
5. Fees and payment
Our fees are set out in the relevant client agreement. Fees are invoiced monthly in advance for retainer services and at the agreed intervals for project-based work.
Payment is due within 14 days of the invoice date unless otherwise agreed in writing. We reserve the right to charge interest on late payments at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
All fees are exclusive of VAT where applicable.
6. Termination
Either party may terminate the client agreement by giving written notice as specified in that agreement. Minimum term commitments apply to retainer services as set out in the client agreement.
We reserve the right to terminate an engagement immediately if a client acts in a way that is unlawful, harmful or contrary to our values, or if fees remain unpaid for more than 30 days.
7. Intellectual property
All materials, reports, frameworks and other work product created by Clinicable in the course of providing services remain the intellectual property of Clinicable Ltd until full payment has been received, at which point ownership transfers to the client as agreed.
Our website content, brand, logo and materials are the intellectual property of Clinicable Ltd and may not be reproduced without our written permission.
8. Confidentiality
Both parties agree to keep confidential any information shared in the course of the engagement that is not publicly available. This obligation continues after the engagement ends.
9. Limitation of liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
Subject to the above, our total liability to you in connection with the services shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
We are not liable for any indirect or consequential loss, loss of profit, loss of revenue or loss of business arising from our services or their failure.
10. Website use
The information on our website is provided for general information purposes only. It does not constitute professional advice. You should not rely on it as the basis for any decision without taking appropriate professional advice.
We make reasonable efforts to ensure the website is available and accurate but we do not guarantee uninterrupted access or that the content is free from errors.
11. Governing law
These terms are governed by the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to these terms
We may update these Terms of Service from time to time. The date at the top of this page shows when they were last updated. Continued use of our website or services following any update constitutes acceptance of the revised terms.
